1. Acceptance and Authority
By accessing, installing, activating, or using Zenith Valor ("Zenith Valor", the "Service", or the "Software"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company, agency, or other legal entity, you represent that you have authority to bind that entity and that these terms apply to both you and that entity.
2. Nature of the Service; No Professional Advice
Zenith Valor provides software tools for sales operations, lead management, outbound communication workflows, scripts, resources, agreements, booking, and related administrative functions.
Zenith Valor is not a law firm, compliance consultancy, financial advisor, telecom carrier, or regulated professional service provider. Nothing in the Service, including templates, prompts, scripts, agreements, notes, or AI-generated output, constitutes legal, regulatory, tax, privacy, sales, or professional advice.
You are solely responsible for deciding whether the Service, its output, and any workflow built on top of it are suitable, lawful, and accurate for your business, industry, geography, and use case.
3. Accounts, Security, and Access Control
You are responsible for all activity occurring under your account, sub-accounts, credentials, connected devices, and approved integrations. You must keep login credentials secure and use reasonable measures to protect devices and access tokens connected to the Service.
You must promptly notify Zenith Valor of any suspected unauthorized access, credential compromise, or misuse involving your account or customer data.
4. Customer Data, User Content, and Legal Compliance
As between you and Zenith Valor, you retain ownership of the data, files, leads, scripts, agreements, uploads, and communication material that you or your users submit to the Service. You grant Zenith Valor a limited right to host, process, transmit, back up, cache, display, and otherwise use that material solely as required to operate, secure, maintain, and improve the Service.
You warrant that you have all rights, permissions, notices, and lawful grounds required to collect, upload, store, contact, process, share, record, or otherwise use all personal information, business information, communication content, and third-party material you place into or send through the Service.
You remain solely responsible for the legality, quality, integrity, accuracy, retention, disclosure, transfer, and use of your data and outbound communications, including compliance with POPIA, the Electronic Communications and Transactions Act, the Consumer Protection Act, direct marketing rules, telemarketing rules, anti-spam rules, confidentiality duties, intellectual property rights, and any other law applicable to your outreach, contracts, or data practices.
Zenith Valor is not liable for misuse of the Service, unlawful data gathering, lack of consent, unlawful direct marketing, harassment, defamation, unlawful call or message activity, unauthorized disclosure by you or your personnel, or any agreement, representation, promise, or communication sent by you through the Service.
5. Acceptable Use and Prohibited Conduct
You may not use the Service to engage in unlawful, deceptive, abusive, threatening, defamatory, harassing, discriminatory, or unethical conduct, or to violate any privacy, marketing, telecom, consumer, employment, intellectual property, or data protection law.
You may not reverse engineer, decompile, interfere with, probe, disrupt, scrape, disable, overload, or attempt to gain unauthorized access to the Service or its supporting infrastructure, nor may you upload malware, malicious code, or any content designed to compromise systems, users, or third parties.
6. Third-Party Services and External Systems
The Service may connect with or depend on third-party providers, including payment processors, email providers, telephony providers, storage platforms, AI providers, analytics tools, and external websites. Those providers operate under their own terms, privacy practices, pricing, technical limits, and service levels.
Zenith Valor is not responsible for third-party outages, suspensions, pricing changes, API changes, failed deliveries, rejected payments, chargebacks, blocked domains, telecom restrictions, account bans, or the acts or omissions of third-party service providers.
7. Availability, Security, and Backups
The Service is provided on an "as is" and "as available" basis. Zenith Valor does not guarantee uninterrupted availability, error-free operation, perfect compatibility, or that every feature, sync event, backup, cache, restore point, export, or recovery mechanism will prevent all loss, corruption, delay, or interruption.
You are responsible for maintaining your own independent records and exports of critical business data. Zenith Valor may provide local caching, restoration, or backup-related features, but those features are supplementary safeguards and not a guarantee against every outage, device failure, user error, malicious attack, or data-loss event.
Zenith Valor will use reasonable technical and organizational measures to protect the Service, but no system can be guaranteed to be completely secure or immune from compromise, especially in relation to events outside reasonable control.
8. Warranty Disclaimer
To the maximum extent permitted by applicable law, Zenith Valor disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and compatibility with your specific business or legal requirements.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Zenith Valor and its affiliates, owners, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, customers, contracts, opportunities, savings, data, business interruption, or reputational harm arising from or related to the Service.
To the maximum extent permitted by applicable law, Zenith Valor's aggregate liability arising out of or relating to the Service or these terms will not exceed the total amount paid by you to Zenith Valor for the Service during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
10. Indemnity
You agree to indemnify, defend, and hold harmless Zenith Valor and its affiliates, owners, officers, employees, contractors, and representatives from and against any claim, demand, complaint, regulatory action, investigation, fine, loss, liability, cost, or expense arising from or related to your data, your use of the Service, your communications, your agreements, your outreach practices, your breach of these terms, your violation of law, or your infringement of any third-party right.
11. Fees, Cancellations, and Refund Review
Paid subscriptions renew on the billing cycle you selected unless canceled. You may cancel at any time, and cancellation takes effect at the end of the current paid period unless otherwise stated at checkout.
Zenith Valor offers a 14-day issue-based refund review window for initial purchases only. Refunds are considered only where there is a genuine technical problem with the Service that materially impairs core use and Zenith Valor is unable to resolve that problem after reasonable support efforts.
No refund is owed for change of mind, non-use, buyer's remorse, dissatisfaction with pricing, failure to read the product description, issues caused by your own data, device, browser, network, integrations, staff conduct, third-party providers, or any matter outside Zenith Valor's reasonable control. If the issue can be resolved, no refund will be issued.
12. Suspension and Termination
Zenith Valor may suspend, restrict, or terminate access to the Service if reasonably necessary to protect the Service, comply with law, prevent harm, respond to abuse, address security risks, enforce these terms, or respond to non-payment.
Upon termination or suspension, your right to use the Service ceases to the extent stated in the termination or suspension notice. Provisions of these terms that by their nature should survive will survive termination, including provisions dealing with liability, disclaimers, indemnity, payments, dispute handling, and data-related responsibilities.
13. Governing Law, Changes, and Contact
These terms are governed by the laws of South Africa, without giving effect to conflict-of-law rules. If any provision is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Zenith Valor may update these terms from time to time. Continued use of the Service after an updated version becomes effective constitutes acceptance of the updated terms.
